SUBSIDIARIES
FLEXOPACK POLSKA SP. Z O.O.
On 20th July 2007, Flexopack S.A. acquired 75% of the Polish company Fescopack Sp. z o.o.
The Company is located in Malbork, Poland, in the Gdansk region, and owns land, buildings and machinery. The location is ideal in terms of geography and apart from quick service of the Polish market, allows direct access and service to all neighboring markets (Russia, Ukraine, and Germany) which are of particular interest due to their development for Flexopack.
In 2015 the Company changed its name from Fescopack Sp. z o.o to Flexopack Polska Sp. z o.o. The above amendment was decided on the basis of naming the companies of the Group on a similar manner and therefore making them more recognizable.
Flexopack Polska Sp. z o.o. is active in the production of flexible plastic packaging materials which are widely used in many sectors, the main being the food packaging industry.
In 2013, Fescopack Sp. Zoo increased its share capital at the amount of PLN 14,7 million (approximately EUR 3,5 million), which was fully covered by Flexopack S.A. increasing this way its participation in the share capital of Fescopack Sp. z o.o. to 97.86 %.
In 2016, a new share capital increase of PLN 4.4 million (approximately 1.02 million euros) took place and the participation of Flexopack SA increased to 98.32%.
On October 19, 2017, Flexopack S.A. proceeded to the purchase of six hundred eighty eight (688) common shares of the subsidiary company Flexopack Polska Sp. z o.o, corresponding to 1,68% of the paid-up share capital. Following this acquisition, Flexopack S.A. became the sole shareholder of the subsidiary company.
FLEXOPACK TRADE AND SERVICES DOO
Flexopack S.A. proceeded on 12th May 2010 in establishing the Company Flexosystems doo Beograd, based in Belgrade, Serbia, with the objective of distribution, promotion and marketing of all products manufactured and marketed by the Group FLEXOPACK into the growing Serbian market.
This action is part of the company’s strategy to further expand its global distribution network of products.
The Company is a 100% subsidiary of Flexopack S.A.
The establishment of Flexosystems doo Beograd fully serves Group’s strategic planning for the selective strengthening of distribution network and expand its operations in the geographic markets of Balkans.
The Company name changed in February 2024 to FLEXOPACK TRADE AND SERVICES DOO.
FLEXOPACK INTERNATIONAL LIMITED
Flexopack International Limited was founded on October 13, 2014, in Larnaca, Cyprus and is the participatory branch of the development of FLEXOPACK (holding company) in foreign markets.
The subsidiaries “FLEXOPACK PTY LTD”, “FLEXOPACK PROPERTIES PTY LTD”, “FLEXOPACK TRADE AND SERVICES UK LIMITED”, “FLEXOPACK FRANCE” and “FLEXOPACK USA Inc.” are wholly controlled by the Cypriot subsidiary “FLEXOPACK INTERNATIONAL LIMITED” in which the parent company FLEXOPACK AEBE PLASTIKON participates with 100%.
FLEXOPACK PTY LTD
The Company is a 100% immediate subsidiary of Flexopack International Limited.
The Company was strategically established in Australia according to the Group’s intention to further enhance the supply chain in Australia and New Zealand and to expand the Group’s presence internationally in markets showing a significant growth potential.
FLEXOPACK TRADE AND SERVICES UK LIMITED
Flexopack Trade and Services UK Limited was established on 20th November 2014 and is operating as a wholesale distributor of food packaging products in UK. Company’s office is at London, U.K.
The Company is a 100% immediate subsidiary of Flexopack International Limited.
The Company was established in the context of the Group’s intention to further enhance the supply chain in the United Kingdom and Ireland and to expand the Group’s presence abroad by upgrading the local distribution and service channel and taking advantage of the unique properties found exclusively in Flexopack products.
FLEXOPACK NZ LIMITED
Flexopack NZ Ltd was established on 25th October 2016, in Auckland, New Zealand and is engaged in the wholesale distribution of Flexopack products to New Zealand. Those products are mainly high barrier packaging films intended for food packaging products and especially products from the meat, dairy, seafood and poultry industry.
The establishment of the company is part of the wider Group’s strategy to obtain presence in markets that have a significant growth potential.
The Company is a 100% immediate subsidiary of Flexopack PTY Ltd.
FLEXOPACK PROPERTIES PTY
Flexopack Properties PTY was established on 14th November 2017, in Brisbane, Australia.
The company currently does not have any commercial activity and the reason for establishing the particular legal entity is explained by the intention of the Group to expand its current manufacturing activity in Australia. The Company has already purchased a piece of land in the suburb of Yatala and manufacturing facilities will be built in the near future.
The Company is a 100% immediate subsidiary of Flexopack International Limited.
FLEXOPACK FRANCE S.A.R.L.
FLEXOPACK FRANCE was founded on October 5, 2018. It is a trading company based in Lyon. Its establishment is part of the upgrade of the global distribution and distribution network of the Group’s products and aims at further strengthening and substantial expansion of its presence in the specific geographical territory, as well as in the immediate service of this market.
The Company is a 100% subsidiary of Flexopack International Limited.
FLEXOPACK USA INC.
FLEXOPACK USA INC. was established on April 13, 2020. The company is commercial, headquartered in the State of Delaware, USA. and its establishment, which is part of the Group’s strategy to strengthen the global distribution network of its products, aims to stimulate and substantially expand the Group’s presence in the North American market, as well as the most efficient service of this market.
The Company is a 100% subsidiary of Flexopack International Limited.
AFFILIATES
INOVA SA
INOVA S.A. is a leading domestic supplier in injection-molded packaging for the food industry.
The company has two main activities:
– Trays, bowls, jars and caps are offered to the ice cream, coffee and confectionery industry, in a variety of types and sizes with in-mould labelling capability.
– Bag-in-box, of various sizes, aseptic and non-aseptic for dairy products, wine and juices.
In-house mould-making offers great flexibility and quick response to the customers.
The company is located in Athens, Greece.
VLACHOS BROS SA
VLACHOS BROS S.A. is an export-oriented flexible packaging converter specialized in rotogravure printing (up to 9 colors) and lamination (solvent less and solvent-based) mostly for the food industry.
Applications are, mainly, for snacks and confectionery, processed meat and cheese, and bakery products. Wide range of barrier and high barrier films (EVOH/PVDC) are available to service industries of perishable products.
Non-food applications include tobacco and hygiene products.
The Company is located in Koropi-Attiki, in a short distance from Athens and Piraeus, the main Greek port.
